THESE TERMS GOVERN YOUR USE OF OUR SERVICES. IF YOU REGISTER FOR A FREE TRIAL OR FOR FREE SERVICES, THE APPLICABLE PROVISIONS WILL ALSO GOVERN THAT FREE TRIAL OR THOSE FREE SERVICES.

1. DEFINITIONS

- “Authentication Information”: Username, password, login information, or other user credentials required to authorize the Services for the Permitted Account on the Supported Platform.

- “Content”: Information obtained by Us from publicly available sources or third-party content providers and made available to You through the Services.

- “Governmental Entity”: Any governmental authority or quasi-governmental body exercising regulatory or other governmental authority.

- “Malicious Code”: Code, files, scripts, agents, or programs intended to do harm, including viruses, worms, time bombs, and Trojan horses.

- “Order Form”: Our ordering template or online order specifying the Services to be provided entered into between You and Us, including any addenda and supplements.

2. OUR RESPONSIBILITIES

2.1 Provision of Services

We will:

Information Sharing

We will not store Your Authentication Information. Failure to comply may result inimmediate termination of Your Services.

We will be responsible for the performance of Our personnel (including Our employees and contractors) and their compliance with Our obligations under these Terms.

3. FREE TRIALS

3.1 Free Trial

If You register for a free trial, We will make Services available to You on a trial basis free of charge until the end of the trial period or the start date of any purchased Services, or termination by Us.

3.2 Disclaimers

During the free trial, the Services are provided “as-is” without any warranty. Any Archived Content or data entered during the free trial will be lost unless You purchase a subscription before the trial ends. 

4. USE OF THE SERVICES AND CONTENT

4.1 Usage Limits

Services and Archived Content are subject to usage limits, including the number of Permitted Accounts and monthly volume of new Archived Content.

4.2 Usage Restrictions

You will not:

- Make the Services available to anyone other than Users.

- Use the Services to store or transmit Malicious Code.

- Interfere with or disrupt the integrity or performance of the Services.

- Attempt to gain unauthorized access tothe Services or Archived Content.

- Permit direct or indirect access to or use of the Services in a way that circumvents a contractual usage limit.

4.3 Content Restrictions

You may not use the Services in connection with Permitted Accounts if the content falls within prohibited categories such as being directed to children under 13, containing adult entertainment, or promoting illegal activity.

4.4 Credentials

You are responsible for creating an account and ensuring your registration information is accurate and complete. Notify Us immediately of any unauthorized use of Your account.

4.5 Supported Platform API Terms ofService

You agree to be bound by the terms of service for each Supported Platform for which You have authorized with Your Authentication Information.

5. INTELLECTUAL PROPERTY

You grant Us a worldwide, limited-term license to host, copy, display, and use any Archived Content to provide and ensure proper operation of Our Services.

You grant Us a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate any feedback provided by You.

6. FEES

6.1 Fees

You will pay all applicable fees as listed on the Website or Order Form.

6.2 Invoicing and Payment

Fees will be invoiced in advance and paidin U.S. dollars via check, credit card, or electronic bank transfer.

6.3 Overdue Charges

Overdue charges may accrue late interest and We may condition future subscription renewals on shorter payment terms.

6.4 Renewal

Unless otherwise agreed upon, Your subscription will automatically renew for additional twelve-month periods unless You cancel or notify Us of non-renewal.

6.5 Refunds and Changes to Service

In the event of cancellation by You, no refund will be provided, although We may offer a pro rata credit in certain circumstances.

7. PRIVACY STATEMENT AND SECURITY

8. MUTUAL INDEMNIFICATION

8.1 Indemnification by Us

10. TERM AND TERMINATION

10.1 Term

These Terms commence on the date You first accept them and continue for a twelve-month period, automatically renewing unless terminated.

10.2 Termination

Either party may terminate these Terms for cause with thirty days' notice if the other party breaches these Terms or becomes insolvent.

10.3 Data Portability and Deletion

You may export Your Archived Content during the term. Upon termination, We will make Your Archived Content available for thirty days before deleting it.
